Contributor Agreement

1.1 "Content" refers to any photographs, images, digital artwork, or visual media uploaded to MakPixel.

1.2 "Contributor" refers to you, the individual or entity uploading Content.

1.3 "MakPixel" refers to the MakPixel platform and its operators.

1.4 "End User" refers to individuals or entities who download or license Content.

1.5 "MAKPIX Tokens" refers to the blockchain-based cryptocurrency used for transactions on the platform.

2.1 Your Ownership

You retain full copyright ownership of all Content you upload. MakPixel does not claim ownership of your work.

2.2 License Grant to MakPixel

You grant MakPixel a non-exclusive, worldwide, royalty-free license to:

• Display and distribute your Content on the platform
• Create thumbnails and previews for promotional purposes
• Use your Content in marketing materials showcasing the platform
• Store and process your Content on our servers
• Facilitate blockchain transactions related to your Content

2.3 License Grant to End Users

You authorize MakPixel to sublicense your Content to End Users who pay the required MAKPIX tokens or USD fees. End Users receive:

• Commercial License: Right to use Content in commercial projects, advertising, websites, and publications
• Worldwide, Perpetual Rights: No geographic or time restrictions
• Non-Exclusive License: You may sell the same Content elsewhere
• No Resale Rights: End Users cannot resell, redistribute, or sublicense your Content

3.1 Original Ownership: You are the sole creator and copyright holder of all uploaded Content, OR you have obtained all necessary rights, licenses, and permissions to upload and license the Content.

3.2 Model & Property Releases: For Content featuring identifiable people or private property, you have obtained valid, signed model releases and property releases, which you will provide upon request.

3.3 No Third-Party Rights: Your Content does not infringe on any copyright, trademark, privacy right, publicity right, or other intellectual property rights of any third party.

3.4 AI Disclosure: You have accurately disclosed whether Content is AI-generated or AI-enhanced, in accordance with MakPixel's AI Content Policy.

3.5 Technical Standards: Your Content meets all technical requirements specified in MakPixel's Submission Guidelines.

3.6 Legal Compliance: Your Content complies with all applicable laws, including but not limited to copyright law, trademark law, privacy laws, and content regulations.

3.7 No Harmful Content: Your Content does not contain illegal, offensive, defamatory, or harmful material.

4.1 MAKPIX Token Transactions

When End Users download Content using MAKPIX tokens:

• Download Payment: 100% of MAKPIX tokens go to the platform treasury wallet
• Contributor Reward: 80% of the token value is added to your pending MAKPIX rewards
• Platform Fee: 20% retained by MakPixel for operations

4.2 Traditional Payment Methods (USD)

When End Users download Content using credit cards, PayPal, or other fiat payment methods:

• Contributor Earnings: 80% of the purchase price
• Platform Fee: 20% retained by MakPixel

4.3 Upload Rewards

Contributors receive MAKPIX token bonuses upon uploading Content based on quality assessment:

• Premium Grade (85-100 pts): 20 MAKPIX
• Professional Grade (70-84 pts): 10 MAKPIX
• Standard Grade (55-69 pts): 6 MAKPIX
• Basic Grade (40-54 pts): 4 MAKPIX

4.4 Payout Thresholds

• MAKPIX Tokens: Minimum 1,000 MAKPIX to claim rewards to your wallet
• USD Payouts: Minimum $10.00 USD via bank transfer or PayPal

4.5 Payment Processing

• MAKPIX token claims: Instant blockchain transfer
• USD payouts: Processed within 5-7 business days
• You are responsible for any applicable taxes on your earnings

5.1 Review Process

MakPixel reserves the right to review all uploaded Content before it appears publicly on the platform. Review typically occurs within 1-48 hours.

5.2 Rejection Rights

MakPixel may reject Content for:

• Failure to meet technical standards
• Copyright or trademark violations
• Missing model or property releases
• Policy violations or inappropriate content
• Low quality or duplicate submissions

5.3 Removal Rights

MakPixel may remove previously approved Content if:

• Copyright infringement is reported
• False information about AI usage is discovered
• Content violates updated policies
• Legal concerns arise

MakPixel's liability to you is limited to the total earnings you have received from the platform in the past 12 months. MakPixel is not liable for:

• Loss of earnings or revenue
• Blockchain network failures or MAKPIX token price fluctuations
• Technical issues preventing Content uploads or downloads
• End User misuse of licensed Content
• Third-party claims against your Content

8.1 Your Right to Terminate

You may terminate this agreement at any time by deleting your Content and closing your account. Previously licensed Content remains available to End Users who purchased licenses.

8.2 MakPixel's Right to Terminate

MakPixel may suspend or terminate your account immediately for:

• Repeated policy violations
• Copyright infringement
• Fraudulent activity
• Abuse of the platform

8.3 Effect of Termination

Upon termination, you lose access to upload new Content, but previously earned MAKPIX tokens and USD payments remain claimable subject to minimum thresholds.

9.1 Jurisdiction: This Agreement is governed by the laws of the United Arab Emirates.

9.2 Dispute Resolution: Any disputes shall be resolved through arbitration in Dubai, UAE.

9.3 Legal Fees: In the event of legal action, the prevailing party is entitled to recover reasonable attorney fees.

MakPixel reserves the right to modify this Agreement at any time. Contributors will be notified via email 30 days before changes take effect. Continued use of the platform after changes constitutes acceptance of the modified terms.

11.1 Entire Agreement: This Agreement, along with the Submission Guidelines, IP Guidelines, and AI Content Policy, constitutes the entire agreement between you and MakPixel.

11.2 Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

11.3 No Waiver: Failure to enforce any provision does not constitute a waiver of that provision.

11.4 Assignment: You may not assign this Agreement without written consent. MakPixel may assign its rights freely.
